Vivian A. Maese leads the Outsourcing and Offshoring (“O & O”) practice at Dechert.  Ms. Maese‘s legal experience has been forged at the intersection of financial services regulation, technology and transactions.  She has the rare ability to communicate effectively with business executives, technologists and lawyers bridging gaps in understanding among different disciplines.  In addition, Ms. Maese has practical knowledge of the world as a result of doing business in over 100 countries.  She represents clients in transactions, and also represents clients before both the bank and securities regulators in the United States, she creates compliance programs and advises with respect to examinations.

Immediately prior to joining Dechert, Ms. Maese was the Global Head of Workforce Strategy at Morgan Stanley.  There she advised business lines and operating units around the world.  She managed both a strategic team and operational teams in Morgan Stanley’s offshore centers in Europe and Asia.

She has put together a holistic practice at Dechert.  The team provides strategic analysis and handles outsourcing transactional work.  In addition, the group provides advice to clients on regulatory risk post-Dodd Frank, outsourcing compliance, supplier risk management and governance issues, country risk assessments, data privacy and cybersecurity, Patriot Act, anti-money laundering, Foreign Corrupt Practices Act, intellectual property and export controls and disaster and recovery.

Ms. Maese started her career as a lawyer at storied investment bank, Salomon Brothers Inc.  While working for Salomon Brothers Inc., Ms. Maese was one of the first lawyers on Wall Street to address the importance of technology and the financial markets.  Her experience also includes serving as Managing Director and Deputy General Counsel at Citigroup.  As Managing Director and Deputy General Counsel, Ms. Maese led global teams of lawyers handling transformative and strategic outsourcing transactions, joint ventures, acquisitions and divestitures, bank and securities risk and regulatory compliance issues.

While working for Citi, Ms. Maese also served as General Counsel of the Global Transaction Services (GTS) Unit, a line of corporate banking businesses generating annual revenue of $4 billion and doing business in over 100 countries.  During her tenure as General Counsel for GTS, the unit created a line of business that enabled Citi to become a provider of outsourced services to investment funds seeking fund accounting and fund administration support.  Ms. Maese aided Citi in transforming technology platforms into profitable operating businesses, working on the front lines of many newsworthy events such as the $1.4 billion Global Research Settlement and the SEC’s Global E-mail Settlement.

Ms. Maese was the General Counsel and Corporate Secretary for BIDS Trading, LP, a broker/dealer operating as an Alternative Trading System, regulated by the Securities and Exchange Commission (SEC) and backed by Morgan Stanley, the Bank of America/Merrill Lynch, Citigroup, Credit Suisse, Deutsche Bank, Goldman Sachs, JP Morgan Chase, Knight Capital Group, Lehman Brothers, NYSE/Euronext and UBS.  As General Counsel and Corporate Secretary, Ms. Maese advised the Board of Directors and CEO and prepared formal comments on important market structure rules promulgated by the SEC.  In addition, Ms. Maese aided in the achievement of regulatory changes of critical importance to the company.

While working for BIDS Trading, Ms. Maese also served on the General Counsel‘s Committee of the Securities Industry and Financial Markets Association during the development of the Dodd-Frank legislation.

Preceding her roles at BIDS Trading, Ms. Maese served as Senior Vice President for NYSE/Euronext.  As Senior Vice President, Ms. Maese assisted the CEO and the Specialist Community on rulemaking related to modernizing the New York Stock Exchange (“NYSE”).  She also handled intellectual property and market data issues, the NYSE/Euronext acquisition of Wombat Technologies, and the formation of the New York Block Exchange, a joint venture between the NYSE and BIDS Trading, LP.

In 2011, Ms. Maese was selected from a national pool of accomplished lawyers to participate in the Direct Women 2011 Board Institute.  The program prepares participants to become members of the Boards of Directors for public companies.
