Thomas A. Monson is a partner in Jenner & Block's Chicago office. He is Co-Chair of the Firm's Mergers & Acquisitions Practice, and is a member of the Firm's Corporate and Securities Practices. Mr. Monson is Co-Chair of the Firm's Business Services and Transaction Executive Committee and a member of the Firm's Management Committee.
Mr. Monson practices primarily in the areas of mergers and acquisitions and securities. Mr. Monson also advises clients regarding general corporate and securities matters, including securities law compliance, disclosure issues, stockholder agreements and corporate governance issues. He has counseled clients regarding the implementation of stockholder rights plans and other corporate control matters.
Mr. Monson's recent experience includes the representation of RCN Corporation in its pending $1.2 billion sale to ABRY Partners, Viskase Companies, Inc. in the private placement of $175 million of senior secured notes and Bayside Capital in the acquisition of Service Net Solutions, LLC. Mr. Monson also represented Motorola, Inc. in the sale of its Embedded Communications Computing business to Emerson Electric Co. and Sam Zell in the going-private transaction involving the Tribune Company. Mr. Monson has also represented Lawson Products, Inc., Alcan Inc. and Olin Corporation in various transactions.
Mr. Monson serves as a member of the board of directors of Big Brothers Big Sisters of Metropolitan Chicago.
Mr. Monson received his J.D. from Harvard Law School, cum laude, in 1985 and his undergraduate degree in mechanical engineering from the University of Illinois, with high honors, in 1982.
Mr. Monson is admitted to practice in Illinois.
