Linda E. Rappaport

Linda Rappaport is the Practice Group Leader Emerita of Shearman & Sterling's Global Executive Compensation & Employee Benefits/Private Clients Group. Her practice focuses on all aspects of executive compensation and related corporate government matters, including those associated with corporate acquisitions, divestitures, public offerings, restructurings and bankruptcies. She regularly represents Boards of Directors and Compensation Committees in corporate governance, senior executive succession, employment and severance arrangements, public disclosure and the design of incentive and equity programs. She has a special focus on the financial services and entertainment industries. She also regularly advises on the design and implementation of carried interest and co-investment programs for executives managing private equity and other investment funds. In her practice, she represents both U.S. and global entities.

Ms. Rappaport has been a partner of the firm since 1985. She is a member of the firm's elected Policy Committee. Before joining the firm, she was a Law Clerk to Chief Judge James S. Holder, U.S. District Court of the District of Vermont.

Ms. Rappaport is a member of the Board of Trustees of Wesleyan University, and The New School, Chair, Legal Aid Advisory Committee, Chair, Board of Govenors of Mannes College of Music, and an advising director of The New York Women's Foundation.
