Kimberly A. deBeers has an active mergers and acquisitions, private equity, and securities law practice. She regularly represents private equity firms as well as Skadden's corporate and investment banking clients on a wide variety of acquisition and sale transactions; leveraged buyouts, private equity and venture capital transactions; spin-offs; and recapitalizations, joint ventures and other financing transactions.
Ms. deBeers has represented O'Reilly Automotive in its $850 million acquisition of CSK Auto, US Airways in its asset transaction with Delta Airlines, Huron Consulting Group Inc. in its initial public offerings, Ameritech Corporation in the sale of a portion of its cellular business, the financial advisor to Dreyer's Grand Ice Cream, Inc. in its sale to Nestlé S.A. and TruServ Corporation in its debt restructuring.
Ms. deBeers' private equity practice has involved the representation of a number of private equity funds and companies in connection with significant transactions, including Brera Capital Partners, Black Diamond Management, BNY Mezzanine Partners, DE Shaw, Lake Capital Partners, Morgan Stanley, Solo Cup Company and Vernon Partners. In addition, Ms. deBeers has advised management and senior executives of companies in connection with a variety of transactions involving sales or alterations to their company relationship. Ms. deBeers also has structured various new business development platforms.
Her international transaction experience includes advising the combination of LaSalle Partners Incorporated and Jones Lang Wootten in matters throughout Europe, Asia and Australia and representing various clients in sales in the United Kingdom. Ms. deBeers also has assisted various clients in their business expansion throughout various European countries, as well as Inter Retail Holdings in certain U.S.-based retail relationships. In addition, Ms. deBeers repeatedly has been selected for inclusion by Chambers USA: America's Leading Lawyers for Business and she speaks yearly at the Practising Law Institute on securities issues relating to mergers and acquisitions.
