Julia Cowles is a partner in Davis Polk's Corporate Department, based in the firm's Menlo Park office. Her practice includes a broad range of corporate finance, mergers and acquisitions and corporate advisory matters. Ms. Cowles advises corporations and investors on acquisitions, joint ventures, refinancing transactions and other corporate matters. In the capital markets and corporate finance area, she has represented companies and investment banks in a wide variety of transactions, including public offerings, private placements and tender and exchange offers involving a variety of equity, debt, hybrid and convertible instruments.
Recent M&A transactions include representation of Vector Capital in its acquisition of Gerber Scientific, Inc. and subsequent spinoff of Gerber's Spandex distribution business; representation of GSI Commerce's special board committee in connection with eBay's acquisition of GSI Commerce; representation of Oracle Corporation in its acquisitions of Phase Forward Incorporated and Art Technology Group and representation of Noble Group in its acquisition of Sempra Energy Solutions.
She graduated with a B.A. from Hamilton College in 1984 and received her J.D., cum laude, from Fordham University School of Law. She serves as a vice chair of the Corporations Committee of the State Bar of California.
