GREGORY C, YADLEY is the former Managing Partner of the Tampa Office of Shumaker, Loop & Kendrick, LLP. He currently is Co-Chair of the firm's Corporate Practice Group. His principal areas of practice are securities, mergers and acquisitions, corporate, banking and general business law. Before entering private practice, Mr. Yadley served as Assistant General Counsel, Finance and Securities, for the Federal Home Loan Mortgage Corporation in Washington, D.C. and Branch Chief in the U.S. Securities and Exchange Commission's Division of Market Regulation, also in Washington.
Mr. Yadley has extensive experience representing business entities of all sizes, including closely-held and family businesses and large and small public companies. He regularly represents these clients in financing transactions, mergers and acquisitions, contract negotiations and disputes, strategic planning, legal compliance and general corporate matters. He also has extensive experience in securities matters, including advising clients with regard to their private and public offerings of securities (including initial public offerings) and their ongoing disclosure obligations.
Mr. Yadley currently serves as one of 21 members of the SEC Advisory Committee on Small and Emerging Businesses. He has served as a panelist or moderator for the SEC Government-Business Forum on Small Business Capital Formation since 2006, has been Co-Director of the Annual Federal Securities Institute for the past 17 years and is Co-Editor of The Florida Bar Florida Corporate Practice Manual. Mr. Yadley is an adjunct professor at the University of Florida Levin College of Law as well as a frequent lecturer at national corporate and securities law programs and contributor to legal periodicals. He currently serves as Chairman of the Middle Market and Small Business Committee of the American Bar Association Business Law Section and has served as Chair of the ABA's Subcommittee on Small Business Issuers and Co-Chair of the ABA Task Force on Private Placement Broker-Dealers. He is past Chair and a current member of the Executive Council of the Florida Bar Business Law Section. He formerly served as Chair of the Corporations and Securities Committee and as Co-Chair of The Business Law Section's Special Committee on Chapter 517.
