Eva H. Davis is the founding partner of the Los Angeles Corporate Practice Group of Kirkland & Ellis LLP. Ms. Davis concentrates her practice in the areas of mergers and acquisitions, private equity and corporate finance. She represents buyers, sellers, private equity funds, sponsor groups and financial advisors in public and private M&A transactions, including in the bankruptcy or distressed sale context. She represents issuers, investment banks and institutional investors in public and private financing transactions. She also represents public companies and their boards of directors in connection with corporate governance and Sarbanes-Oxley advice. Ms. Davis has negotiated and completed transactions in a wide variety of industries including manufacturing, consumer products, semiconductor, retail, energy, financial services, technology, medical devices, telecommunications and entertainment.  Her transactional experience includes deals ranging from a few million dollars (for management representation and start-up ventures) to over $1.0 billion (for acquisitions and industry consolidations).

Representative clients include The DIRECTV Group, Inc., Flextronics Ltd., Fuel Systems Solutions Inc., GFI Energy Ventures, LLC, Guess?, Inc., Industrial Growth Partners, L.P., Innovation Capital LLC, Line 6, Inc., Oaktree Capital Management, L.L.C., Razor USA LLC, STATS ChipPAC Ltd., TSG Consumer Partners L.P., VMG Partners L.P. and Westport Innovations Inc.

Ms. Davis serves as Chairwoman of Kirkland's Global Women's Leadership Initiative and Chairwoman of the Los Angeles Diversity Committee.  Ms. Davis has also served as Chairwoman of Kirkland's Los Angeles Associates Review Committee, Chairwoman of the Los Angeles Business Development Committee and as a member of the Global Recruiting Committee and the charitable K&E Foundation.

In 2012, Ms. Davis was recognized as a "Women Leader in Law" by The Recorder.

From 2005-2009, Ms. Davis was named a "Southern California Super Lawyer" after a nomination and polling process conducted by Law & Politics and published by Los Angeles magazine and Southern California Super Lawyers magazine.

In 2004, Ms. Davis was selected as one of the "Top 20 under 40" California attorneys to watch by Daily Journal Extra." 

Representative Matters

Mergers & Acquisitions
Represents small, middle market and large companies in connection with public and private acquisitions and dispositions, involving both stock and cash consideration and ranging from several million dollars to over $1.0 billion in total transaction consideration.

Private Equity
Represents private equity funds in connection with the acquisition and disposition of portfolio companies.

Initial Public Offerings
Represents numerous issuers in various industries (including solar, retail, semiconductor, energy, computer outsourcing/data networking and entertainment) in connection with initial public offerings providing in excess of $1.0 billion of aggregate proceeds.

Finance Experience
Represents issuers (both U.S. and foreign), underwriters and initial purchasers in connection with several high-yield debt financings providing in excess of $1.0 billion of aggregate proceeds.

Represents issuers and underwriters in connection with the preparation and filing of universal shelf registration statements from which various types of debt and equity have been issued providing in excess of $1.0 billion of aggregate proceeds. 

Represents portfolio companies and/or their major stockholders and sponsor groups in connection with secondary common stock offerings providing in excess of $1.0 billion of aggregate proceeds. 

Represents portfolio companies of private equity funds and other private and public companies in connection with senior, subordinated and mezzanine financings of both secured and unsecured varieties that have ranged in size from several million to several hundred million dollars.

Reorganizations and Bankruptcies
Represents debtors (sellers) and bidders (buyers) of assets in bankruptcy 363 asset sales and other distressed sale situations, ranging in transaction value from several million dollars to several hundred million dollars.

Represents debtors and creditors in workouts and reorganizations of complex capital structures in deals ranging from several hundred million dollars to more than $3.0 billion.

Corporate Counseling and Board Advice
Provide corporate counseling advice to public and private companies, their boards of directors and special committees in connection with operational issues, significant corporate transactional matters, joint ventures and strategic alternatives. Advise public companies and their boards of directors, audit committees, compensation committees, nominating and corporate governance committees and special committees on corporate governance matters, regulations of the Securities and Exchange Commission and the Sarbanes-Oxley Act of 2002.
