Ernest S. Wechsler
Mr. Wechsler has a diverse transactional-based practice focusing on domestic and cross border mergers and acquisitions, corporate restructuring, capital markets and finance transactions, joint ventures and general corporate representations.
Mr. Wechsler represents a broad range of clients including hedge funds, private equity funds and both private and publicly held operating companies in a wide range of industries, including telecommunications equipment manufacturers, IT services providers, medical device companies and manufacturing companies. In addition, Mr. Wechsler works extensively with foreign corporations, including a number of companies based in Israel, whose shares are traded in the United States.
Mr. Wechsler practices primarily in the following areas of corporate law:
Mergers & Acquisitions, including domestic and cross border mergers, acquisitions, divestitures, going private transactions and tender offers on behalf of operating companies, private equity funds and hedge funds; Corporate Restructuring, including the representation of hedge funds in exchange offers and other restructuring matters, including analyses of existing and potential investments in various debt and equity securities and bank loans; Capital Markets/Finance, including domestic and cross border public offerings of securities, on behalf of issuers and underwriters, and domestic and cross border private placements and venture capital transactions on behalf of investors and portfolio companies; Strategic Alliances, including the formation of domestic and cross border joint ventures; and Securities Compliance and General Corporate Representation, including all aspects of compliance with U.S. securities laws for domestic and foreign companies, and ongoing counseling on corporate fiduciary duty issues.
