Dean Shulman represents and advises clients on a wide range of domestic and international tax matters, including mergers, acquisitions, divestitures, tax-free spin-offs,leveraged buyouts, initial public offerings and the formation of funds. Mr. Shulman has extensive experience advising on and structuring real estate transactions, including partnership workouts and restructurings, like-kind exchanges as well as transactions involving the formation and operation of partnerships, limited liability companies,joint ventures, real estate investment trusts and real estate funds. He also has represented regulated investment companies, publicly traded partnerships and investment partnerships and advises clients, including investment advisers, on the tax aspects of structuring financial instruments and other derivatives, as well as in various capital markets transactions.
In the area of mergers and acquisitions, Mr. Shulman represented E.I. du Pont de Nemours and Company in its acquisitions of Pioneer Hi-Bred International, Inc. and the protein technologies business of Ralston Purina Company; Rio Hotel & Casino, Inc. in its acquisition by Harrah’s Entertainment, Inc.; Centacor, Inc. in its acquisition by Johnson & Johnson; Great Western Financial Corporation in its acquisition by Washington Mutual, Inc.; and DRS Technologies in several acquisitions. Mr. Shulman also represented money managers Tweedy Browne Company and EQSF Advisors, Inc.in the sale of majority stakes to Affiliated Managers Group.
In the corporate spin-off area, Mr. Shulman represented Pulitzer Publishing Company and obtained a private letter ruling from the Internal Revenue Service (IRS) in connection with Pulitzer’s spin-off of its newspaper publishing operations and subsequent sale of its television broadcasting operations to Hearst Argyle Television, Inc. He also represented E.I. du Pont de Nemours and Company and obtained a private letter ruling from the IRS in connection with the initial public offering and split-off of Conoco Inc. In addition, Mr. Shulman represented Liberty Media Corporation in connection with its split-off from AT&T, as well as Liberty Media in connection with its spin-offs of Liberty Media International and Discovery Holding Company.
Mr. Shulman also has represented numerous real estate developers in a variety of transactions, including acquisitions and debt restructurings, and has extensive experience structuring like-kind exchange transactions under Section 1031 of the Internal Revenue Service Code.
Mr. Shulman is a member of The Association of the Bar of the City of New York Committee on Taxation of Corporations and has written several bar reports addressing current issues in corporate taxation. Mr. Shulman lectures in continuing legal education programs and is a contributing author to the Practising Law Institute’s Federal Income Taxation Seminar. He was selected for inclusion in Chambers USA: America’s Leading Lawyers for Business.
