Bruce Goldberger has significant experience advising on the employee benefits and executive compensation aspects of mergers, acquisitions, divestitures, financing transactions and IPOs, both domestically and internationally. He designs and drafts equity, incentive, retention, severance and change-of-control programs, including global equity incentive plans. Bruce represents public and private clients, both in connection with strategic transactions and as regular outside counsel. He advises on compliance with tax and securities laws, ERISA, exchange listing rules, appropriate disclosure and the structuring of investments by pension plans in light of the "plan asset" rules. Bruce also negotiates employment and separation agreements and other management compensation programs, with particular expertise in private equity.
Bruce is a graduate of Harvard College and Harvard Law School. He holds an LL.M. in Taxation from NYU Law School and was a Rotary Scholar at the University of Essex, where he earned a Masters degree in European Politics.
