Brian Miner joined Reed Smith in 2010 and is a member of the Corporate & Securities Group. He has significant experience in a wide range of business law matters, focusing on cross-border and domestic private equity transactional matters and merger and acquisition and joint venture transactions involving public and private companies. His private equity practice focuses on acquisitions and dispositions, joint ventures and co-investment transactions.
In addition, Brian represents issuers, underwriters and purchasers in public and private offerings of equity and debt securities, including initial, follow-on and secondary public equity offerings, registered and Rule 144A debt offerings and private investments in public equity. He also counsels public companies with respect to obligations under the federal securities laws, corporate governance issues, and other general corporate matters. Brian advises corporations on takeover defensive strategies, including shareholder rights plans and the adoption of special charter and by-law provisions.
